Contract for Submission, Review and Publication in the American Journal The Contractor, Med Systems Company, once having received materials from the undersigned Contractee for possible publication in its publication, "The American Journal of Anthropomorphics", agrees, as does Contractee, to the following terms. 1. Artist's Retention of Copyright Contractee, by signing below, affirms that they own or have been assigned the copyright(s) to the submitted material(s) in question in the entirety, and that they grant Contractor the Right to Reproduce these materials in "The American Journal of Anthropomorphics" for the duration of this contract. Contractor is not conveyed any interest in or control over said materials other than the Right to Reproduce them in accordance with the terms of this agreement. Should Contractor choose to not publish or reproduce any of Contractee's submitted work, this contract shall not apply. Contractee is free to sell, license or transfer the rights to any individual or corporation s/he chooses, so long as such transfer is performed without affecting Contractor's Right to Reproduce as granted herein while this contract is in effect. 2. Duration of Contract Contractee submits materials to Contractor with the understanding that such materials will be kept on file until such time as they can be published in "The American Journal of Anthropomorphics". They layout process for each publication includes the review of all available artwork and the selection of enough (in order of quality) to fill the available space. When Contractee's materials are chosen for publication, Contractor will inform them of all the particulars. Contractor agrees to keep all materials received from Contractee, as well as to return any original materials (original in this instance referring to actual, non-reproduced artwork), if their return is desired, to Contractee when their purpose (review and possible reproduction) has been fulfilled, or sooner, if possible and desired by Contractee. Contractee may request a copy of what is on file with Contractor, or the return of submitted materials at any time save during their period of actual use (reproduction and printing). Such records and submitted materials will be kept by the Contractor for a period of five (5) years, and will be updated whenever required. Thus, the duration of this contact will be either five years or until Contractee requests all submitted materials be returned or removed from consideration for publication, excepting the instance if Contractee has been published, in which case this contract will terminate when all copies in which Contractee's material appears have been sold or the issue is declared out of print. 3. Use of Submitted Artwork Contractor agrees not to use submitted artwork in any other publication other than The American Journal of Anthropomorphics without consulting with the Contractee and negotiating a separate contract save in the instance of (6) below, “Permission to Advertise”, in which Contractor may, at Contractor's discretion, use some or all of Contractee's submitted art in its advertisements to promote awareness and sales of the Journal and other products. 4. Contact Forwarding / Agent Relationship Option Contractor agrees to forward all inquiries received for the artist (Contractee), including all contract and commission offers, directly to the artist (Contractee). In this instance, Contractor shall not be deemed the agent for Contractee. Should Contractee desire Contractor to act as their agent in these matters, a separate agreement will be negotiated to that effect between them allowing Contractor to negotiate rates and work specifications with individuals and agencies interested in contracting and / or commissioning Contractee to perform work. In no instance beyond what is negotiated in such an agent contract is Contractor entitled to any percentage of the fees or contracts that Contractee or Contractee's agents receive from readers of Contractor's publications as a result of Contractee's work being published therein. 5. Permission to Modify Contractee agrees to allow minor alterations to the published versions of any submitted materials so as to facilitate publication or to conform to standards set forth by Contractor, including, but not limited to, halftoning, enlargement, reduction, loss of edge sections of work during full or partial-page bleeds, the addition of page numbers, contrast changes, etc. 6. Permission to Advertise Artwork or sections of artwork that were submitted to Contractor for possible publication under the terms of this contract that are printed or used elsewhere for purposes of advertising the publications in question shall not be deemed publication under the terms of this contract. Such external, promotional usage is granted to Contractor by Contractee under the terms of this agreement. 7. Governing Law This agreement shall be governed by and interpreted under the laws of the State of New York. 6. Relationship Contractee will not be an employee of Contractor, but will be acting as an independent agent. Contractee will be responsible for Contractee's own taxes and insurance, including but not limited to Income, Social Security, Federal, State and Local. The exceptions to this are only two: (a) Contractee's work in the aforementioned Publication(s) shall, whenever possible, be covered by Contractor's Publishers Liability Insurance and subsequent Errors and Omissions Policies, and (b) in the instance of an Agent Agreement and Relationship between Contractor and Contractee, where Contractor will be negotiating fees, working arrangements and licensing agreements on behalf of Contractee. In the latter instance, Contractor and Contractee's relationship agreement shall be superseded by the terms outlined in the separate agreement pertaining to said Agent Relationship. The terms and conditions of this contract may be changed only through the execution of an amendment agreed to in writing by both parties to this contract. This contract supersedes all previous contracts as of this date negotiated between the Contractor and Contractee pertaining to the publications entitled, "The American Journal of Anthropomorphics" and "Artists for Hire" excluding contracts for Issues #1 through #3 of The American Journal of Anthropomorphics, which still apply. All final authorized and original copies of this contract will bear Contractor's embossed corporate seal. 6.
